You acknowledge that it is your responsibility to declare and pay any of the foregoing taxes to all applicable tax authorities, make any tax filings, and to pay any and all taxes, duties, or similar tax when due in all applicable jurisdictions.

QuadraX Fund S.C.Sp Governing Law; Submission to Jurisdiction. All the parties irrevocably agree that the courts of Grand Duchy of Luxembourg are to have exclusive jurisdiction to settle any disputes which may arise out of or in connection with the QuadraX Fund S.C.Sp Agreement or the acquisition of Commitments.
